HOMENHANCEMENTS TERMS OF SERVICE AND TERMS OF SALE

These Terms of Service and Terms of Sale apply to your use of www.homenhancements.com and, where applicable, to sales, quotations, orders, shipments, and business transactions involving HOMEnhancements or Home Enhancements. In these terms, "HOMEnhancements," "Home Enhancements," "we," "us," and "our" refer to HOMEnhancements. "Purchaser," "customer," "you," and "your" refer to the person or entity accessing the website, requesting information, submitting an order, or purchasing products.
Website use
The website is provided for general informational, product, catalog, and business communication purposes. The website does not currently operate as an online shopping cart. By using the website, you agree not to misuse it, interfere with its operation, attempt unauthorized access, submit false information, scrape content in a manner that burdens the site, or use the website for unlawful purposes.
Accuracy of website information
We work to keep website content accurate and current, but product information, pricing, specifications, availability, finishes, dimensions, images, installation details, and other content may contain errors, be incomplete, or change without notice. Website content is provided "as is" and should not be used as the sole basis for purchasing, installation, project, or specification decisions. Consult HOMEnhancements or the applicable authorized representative for current product, pricing, availability, and specification information.
Intellectual property
All website content, including text, images, product photography, logos, trade names, graphics, documents, catalogs, downloads, and other materials, is owned by or licensed to HOMEnhancements or its affiliates and is protected by intellectual property laws. You may use website materials only for legitimate business evaluation, purchasing, specification, or customer service purposes. You may not copy, modify, publish, sell, scrape, distribute, or exploit website content without written permission.
Terms and payment
Unless otherwise agreed in writing by HOMEnhancements, products are subject to Net 30 day terms from the date of invoice. Purchaser must pay the full purchase price by the due date shown on the invoice. Deposits, including non-refundable deposits, may be required in our sole discretion.
Payments may incur a convenience fee of up to 3% for alternative forms of payment where permitted by law. Open accounts unpaid beyond their due date will accrue interest at the rate of 1.5% per month, 18% annually, or the highest rate permitted by law, whichever is lower. If HOMEnhancements retains an agency or attorney to collect overdue amounts, all collection costs, costs to repossess assets, court costs, and reasonable attorneys' fees shall be payable by Purchaser.
If Purchaser becomes delinquent, if credit is impaired, or if HOMEnhancements determines in its business judgment that Purchaser may be unable to pay amounts when due, HOMEnhancements may refuse new orders, cancel open purchase orders, suspend shipments, declare all sums immediately due, cancel or modify lines of credit, or take other commercially reasonable steps to protect its financial position.
Freight allowance and shipments
HOMEnhancements products may be combined on an order to qualify for a free freight allowance. All shipments are FOB Carrollton, Texas, or an authorized vendor location in the United States unless otherwise agreed in writing. Orders having a distributor price greater than the negotiated free freight allowance for one consignee and one shipment may qualify for freight allowance if the invoice is paid within terms. Orders below the freight allowance threshold will be assessed the full freight fee, handling charges, and any accessorial fees charged by the carrier.
For orders that qualify for freight allowance, HOMEnhancements reserves the right to select the carrier and route shipments at its discretion. If the customer requests a different shipping method, the customer is responsible for any additional transportation costs.
Transportation claims
Products are inspected before shipment. Title and risk of loss pass to Purchaser upon delivery by HOMEnhancements to the carrier, unless otherwise required by applicable law or agreed in writing. Purchaser must inspect each shipment upon arrival. Claims for transit damage, shortage, or loss must be submitted by Purchaser to the delivering carrier and reported to HOMEnhancements by email within 5 business days after delivery. Bills of lading marked "Shippers Load and Count" do not transfer freight or damage liability from the consignee to HOMEnhancements.
Packaging
HOMEnhancements may optimize packaging at its discretion. Some products may be available only in bulk packaging, multiples, or case quantities.
Prices, quotes, tariffs, and availability
Prices are subject to change without notice. If a price increase occurs, accepted orders on hand will be filled at the lower price only if released for shipment before the effective date of the increase. Orders not released before the price increase may be billed at the price in effect at shipment. Special quoted orders that cannot be released before a price increase may be subject to a price increase.
Prices do not include lamps, bulbs, or accessories unless specifically stated. Product quotes are subject to import tariffs, unexpected increases in raw material costs, shipping fees, supplier costs, and other cost changes. If a product is affected by those increases, pricing may be increased by an amount equal to the increased cost.
Return of stock merchandise
No merchandise may be returned without prior written authorization from HOMEnhancements. Return goods authorization requests must be made within 4 months from the date of shipment by HOMEnhancements. Approved returns must be shipped prepaid to the location designated in the return goods authorization. Products must be in original packaging and salable condition.
Credit will be issued based on the original invoice price or the price in effect at the time of return, whichever is lower, less a minimum 20% restocking charge. Special order products, outdated products, discontinued products, non-stocking products, custom-made products, customer-modified products, and modified products are not returnable.
Service area limitation
HOMEnhancements reserves the right to refuse to quote, accept orders, or ship products to destinations outside the regular or assigned selling and service area of the applicable distributor or manufacturer's representative.
Limited warranty
Unless a different written warranty applies to a specific product, HOMEnhancements warrants products sold by HOMEnhancements to be free from manufacturing defects under normal and proper storage, installation, and use for 1 year from the date of shipment. Damage related to moisture, humidity, prolonged exposure to extreme temperatures, improper handling, improper installation, misuse, unauthorized modification, or abuse is not warranted unless otherwise stated in the product description or written warranty.
Our warranty obligation is limited to repair or replacement of the defective part. Labor charges, removal costs, reinstallation costs, electrician costs, contractor costs, travel costs, consequential damages, or similar costs will not be paid unless HOMEnhancements gives prior written authorization.
The warranty stated above is exclusive and in lieu of all other warranties. HOMEnhancements makes no warranties except as expressly stated in these terms and disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement, to the fullest extent permitted by law. No distributor, supplier, representative, dealer, contractor, or employee has authority to modify or amend this limited warranty unless authorized in writing by HOMEnhancements.
Limitation of liability
The limited warranty provides Purchaser's sole and exclusive remedy relating to HOMEnhancements products. To the fullest extent permitted by law, the total liability of HOMEnhancements for any claim arising out of or relating to products, services, sale, delivery, repair, replacement, website use, warranty, or performance shall not exceed the purchase price allocable to the specific product giving rise to the claim. HOMEnhancements shall not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business, loss of goodwill, data loss, project delay, labor costs, installation costs, removal costs, or replacement costs, even if advised of the possibility of such damages.
Force majeure
HOMEnhancements is not liable for damages, delays, nonperformance, or failure to perform resulting directly or indirectly from events beyond its reasonable control, including fire, flood, embargo, strikes, labor shortages, supply chain disruption, acts of God, civil unrest, insurrection, war, terrorism, carrier delays, vendor delays, supplier failures, government actions, laws, ordinances, rules, regulations, orders, tariffs, import delays, or other causes beyond our control. Delivery dates will be extended for a reasonable period at least equal to the duration of the event.
Cancellation
Orders for stocking items may be canceled before shipment without charge. Other orders may not be canceled unless HOMEnhancements is reimbursed for work already performed, special materials purchased, supplier charges, cancellation fees, and related costs. If an order is canceled after shipment or delivery is refused at destination, all warehousing, delivery, disposition, freight, and return costs will be charged to Purchaser.
Ordering
Orders should be submitted by email, fax, or another method authorized by the applicable product department. Telephone orders must be confirmed in writing within 24 hours. All orders are subject to written acceptance by HOMEnhancements. HOMEnhancements may accept or reject orders in whole or in part in its sole discretion. HOMEnhancements will not accept orders requiring customer-furnished components unless separately agreed in writing.
Product compliance and specifications
Specifications are subject to change without notice. Purchaser is responsible for confirming that selected products comply with project specifications, building codes, electrical codes, design requirements, installation requirements, local laws, and customer requirements. HOMEnhancements does not warrant approval of products for any individual project specification unless expressly agreed in writing.
Installation and safety
Lighting, fan, and electrical products should be installed by qualified professionals in accordance with applicable codes, instructions, warnings, ratings, and safety requirements. HOMEnhancements is not responsible for damage, injury, delay, or loss caused by improper installation, improper wiring, misuse, failure to follow instructions, unauthorized modifications, or use outside rated applications.
Third-party links and resources
The website may contain links to third-party websites or resources. HOMEnhancements is not responsible for third-party content, policies, products, services, or practices.
Privacy
Your use of the website and submission of personal information are governed by our Privacy Policy.
Governing law and dispute resolution
These terms and any dispute arising out of or relating to them are governed by the laws of the State of Texas, without regard to conflict of law principles. Before either party begins a legal proceeding, the parties agree to make a good faith effort to resolve the dispute informally by contacting the other party and describing the issue. Subject to any mandatory law, venue for legal proceedings shall be in a court of competent jurisdiction in Texas.
Entire agreement
Except as expressly agreed in a writing signed by HOMEnhancements, these terms and conditions constitute the entire agreement between HOMEnhancements and Purchaser for applicable orders and website use. Any contrary or additional terms submitted by Purchaser are rejected and have no force or effect unless expressly accepted in writing by HOMEnhancements. Submission of a purchase order indicates Purchaser's acknowledgment of and agreement to these terms.
Changes
HOMEnhancements reserves the right to update these terms at any time by posting an updated version on the website. Changes apply prospectively unless otherwise stated.
